Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Imagn (“Service”), a web-app AI image editor operated by Ben Desprets (“we,” “us,” “our”). By accessing or using the Service, you agree to these Terms.

1. Acceptance of Terms

You must be at least 18 years old to use the Service. By clicking “I Agree,” registering, or using the Service, you consent to these Terms and our Privacy Policy.

2. Description of Service

Imagn allows you to upload images (“Inputs”), submit text prompts (“Prompts”), select an AI model, and receive edited images (“Outputs”). We host, maintain, and update the Service.

3. User Accounts

1. Registration. You may need to register and provide a valid email.
2. Credentials. You are responsible for safeguarding your password and account.
3. Account Termination. We may suspend or terminate accounts for violations of these Terms.

4. License Grants & Ownership

1. Your Inputs & Prompts. You retain all rights to your Inputs and Prompts. You grant us a non-exclusive license to use them solely to provide and improve the Service, but not to train other models without your express consent.
2. Outputs. You own the Outputs and may use them commercially or personally, subject to third-party rights.

5. Prohibited Conduct

You agree not to:

• Upload content that infringes intellectual property or privacy rights.
• Generate illegal, harmful, hateful, pornographic, or otherwise objectionable content.
• Reverse-engineer, hack, or disrupt the Service infrastructure.
• Use the Service to train competing AI models.

6. Fees and Payment

Where Fees apply, payment is processed via Stripe or platform-specific channels. All fees are non-refundable except as required by law.

7. Modification of Terms

We may amend these Terms at any time. For material changes, we will notify you via email or in-app notice. Continued use after notice constitutes acceptance of the updated Terms.

8. Disclaimers

THE SERVICE IS PROVIDED “AS-IS” AND “AS-AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify and hold harmless Imagn and its affiliates from any claim, loss, liability, or expense (including attorneys' fees) arising from your breach of these Terms or your use of the Service.

11. Governing Law; Dispute Resolution

These Terms and any disputes will be governed by the laws of Ontario, Canada, without regard to conflict-of-law principles. You and we consent to the exclusive jurisdiction of the courts in Toronto, Ontario.

12. Severability

If any provision is held invalid, the remainder of these Terms will remain in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Imagn regarding the Service.
